Official Rules

SEATTLE SOUNDERS FC 2020 ALLIANCE SCARF DESIGN CONTEST


                The Seattle Sounders FC 2020 Alliance Scarf Design Contest (the “Contest”) is sponsored by Seattle Soccer, LLC d/b/a Seattle Sounders FC, a Washington limited liability corporation (the “Sponsor”).  To enter, you must meet the eligibility requirements and participate in accordance with the rules set forth herein, including those regarding the digital file submission and availability during the required dates.  The Contest is void where prohibited or restricted by applicable law, and all applicable federal, state and local laws and regulations apply. Winners are responsible for any taxes, customs, duties and like amounts in respect of the Contest prizes. The Sponsor reserves the right to cancel, modify or suspend the Contest at any time.

 

THE CONTEST

                One scarf design will be selected by a combination of juried selection and fan vote to serve as the official Alliance Member scarf of Sounders FC for the 2020 MLS season.  All eligible entries received during the Contest Period (as defined below) shall be considered during the juried selection process.  Five finalists will be selected by the jury and shall be presented for a fan wide vote to identify the winning scarf design.

 

TO ENTER

                This Contest shall begin at 9:00 AM PST on June 19, 2019 and conclude at 5:00 PM PST August 26, 2019 (“Contest Period”).  All entries must be received during the Contest Period for a chance to be selected to win the Prize listed below.  To be eligible to enter, an entrant must submit a PDF file of a scarf design constituting an original work that is otherwise consistent with the requirements herein, along with all required information on the submission page (“Submission”).

 

                Sponsor in its sole and exclusive discretion shall determine which entries received by the deadline, if any, are eligible for review in the selection process.  Sponsor in its sole and exclusive discretion may elect not to select any Submission, in the event that (a) no Submission received is eligible, (b) no Submission meets the Selection Criteria; and/or (c) no Submission otherwise qualifies for selection.

                All Submissions must be created and authored by the entrant and be an original work as that term is commonly defined under domestic and international copyright law.   By entering the Submission, each entrant warrants that (a) the Submission is original to and was created solely by the entrant and has not been copied, in whole or in part, from a copyrighted or proprietary work belonging to someone else, (b) the Submission does not violate any copyright laws, and does not plagiarize, libel, slander, defame, disparage, or otherwise infringe on or violate the rights of any third parties (including but not limited to other MLS teams, logos or marks, the Seattle Space Needle, the Cascadia Flag or other insignia), (c) entrant is legally entitled to submit the Submission in the Contest, or is a parent or guardian who is legally entitled to submit the Artwork and Submission on behalf of their minor, ward or child; and (d) the distribution, reproduction, display and any other uses of the Submission by Sponsor as permitted herein will not infringe any third party rights.

To be selected, a Submission must comport with the Seattle Sounders FC brand and public image and may not be offensive or inappropriate as determined by Sponsor in its sole and exclusive discretion.  Sponsor reserves the right to disqualify any Submission, that in its sole and exclusive discretion is offensive, inappropriate, not keeping with the Sponsor’s image or that is otherwise abhorrent to these Official Rules.

                Submissions must not defame or invade publicity or privacy rights of any person, living or deceased, or otherwise infringe upon any person’s personal or property rights. If the Artwork includes a picture, photograph or likeness of any person, by entering each entrant acknowledges and agrees that he or she has obtained the written consent of any such person to include such person’s picture, photograph or likeness and to use such picture, photograph or likeness for the purposes described herein.

Entrant shall, by entering his/her Submission also grant a limited and non-exclusive, non-royalty bearing license worldwide in perpetuity to Sponsor to use the Submission and any part thereof, and as otherwise in accordance with the MLS Terms of Use and Privacy Policy, each of which can be found by visiting http://www.mlssoccer.com/terms-service  and http://www.mlssoccer.com/privacy-policy  (both of which are incorporated herein by reference), regardless of whether or not the Submission is selected as a winning entry as follows:  In any and all marketing, media, promotions, social, digital or web-based content, historical retrospective, highlight videos, partnership reports, league reports or other league content pieces.  Sponsor, its affiliates, partners and designees, and its respective agents and agencies, shall be free to exploit its right under this license, including to publish, use, adapt, edit and/or modify, perform, broadcast, copy and exploit, including the right to create derivative works from, the Submission in any way, in any and all media whether known or hereafter created, without limitation and without further compensation.

All Submissions shall become the sole and exclusive property of Sponsor regardless of whether or not the Submission is selected as a winning entry.  By uploading a Submission of Artwork, the submitting party hereby grants, conveys and transfers all right, title and interest in copyright or otherwise in the Submission to Sponsor and shall have no continuing right to use, adapt, or exploit the Submission for any purpose, without the express written permission of Sponsor.  Sponsor, its affiliates, partners and designees, and its respective agents and agencies, shall be free to publish, use, adapt, edit and/or modify, perform, broadcast, copy and exploit, including the right to create derivative works from, your Submission in any way, worldwide in perpetuity, in any and all media whether known or hereafter created, for whatever purpose, without limitation and without further compensation.  Upon request, submitting entrant shall deliver all versions of the Submission files, including vector files, which are and shall be considered part of the Submission once provided.

Notwithstanding the foregoing, upon timely request, Sponsor shall license back the right to use any Submission which is not selected as the final winning scarf to the entrant, for entrant’s use, including to put the design into use or production, provided that prior to such use, entrant removes all intellectual property owned by Sponsor and Major League Soccer, LLC.  The timing of the license back to the entrant, shall be no sooner than when that entrant’s Submission is finally eliminated from consideration as the winning scarf.  The five (5) finalist entrants shall not be subject to a license back until the winning scarf is selected and approved by all relevant parties with approval rights prior to production.  The license shall be limited in scope to the entrant only and shall not be assignable without the express consent of Sponsor.

CRITERIA AND JUDGING AND SELECTION

                All Submissions which are received during the Contest Period and that are otherwise deemed eligible will be judged by a panel convened by Sponsor, at its sole and exclusive discretion based upon the following criteria:

  • Quality of the design and design inspiration responding to the prompt: ‘What does it mean to you to be a member of the Alliance?’ 
  • Overall artistic impression of design that would be well received and embraced by Alliance members.
  • Represents the integrity and value of the Seattle Sounders FC brand; something the Club and its fans would be proud to wear and display

 

The judges panel will select five (5) finalists from all eligible Submissions.  The Judges panel shall select the five (5) finalists on or before August 31, 2019.  Sponsor’s decisions are final and binding on all matters related to this Contest. 

 

Finalists may or may not be notified of their selection prior to the posting and presentation of the five finalists for public vote.  The public vote shall open after the five finalists are selected and shall remain open for a period of time within Sponsor’s discretion and control but which shall be communicated in all marketing about the fan vote component.

               

ELIGIBILITY

                Eligibility to participate in the Contest or to win prizes is limited to persons who are legal residents of the State of Washington, less those who live within a seventy-five (75) mile radius from Portland, Oregon.  Entrants who are under the age of eighteen (18) on the date of Submission must supply parental permission in order to be eligible to participate.  Any effort by an entrant to misrepresent their eligibility will disqualify that entrant. Entrants who disregard these Official Rules are not eligible to participate or win.  Directors, officers, employees, contractors, agents and licenses, or their immediate families and household members, of Sponsor, its parents, affiliates, subsidiaries, and advertising and promotion agencies are not eligible.

GRAND PRIZE

                The entrant submitting the winning design, as selected via fan vote, shall receive a grand prize consisting of four (4) pitch side seats to the final 2019 MLS regular season home match (“Grand Prize”).  The Grand Prize has an approximate retail value of $1800.00.  In addition, Grand Prize winner assumes sole responsibility for all costs associated with any component of the Grand Prize not explicitly outlined above, including without limitation, all federal, state and local taxes incurred as a result of being awarded the Grand Prize.  The Grand Prize may be substituted by Sponsor at its sole and exclusive discretion.  All matches are subject to delay, postponement or change of date or kick off time for any reason.  Sponsor shall not be responsible if the match associated with the Grand Prize is rescheduled and winner is unable to attend during the rescheduled date and/or time. The Grand Prize is not transferrable and not substitutable with cash or a cash equivalent. Sponsor reserves the right not to award a grand prize.

INDEMNIFICATION

                Each entrant hereby releases, and agrees to defend, indemnify and hold harmless Sponsor, Major League Soccer, LLC. and Soccer United Marketing, LLC, those working on its behalf, and each of their respective officers, members, managers, directors, representatives, employees, agents, successors and assigns (collectively “Released Parties”), from any damage, injury, death, loss or other liability, either at law or equity, whether known or unknown, asserted or non-asserted, that may arise from or in any way relate to participation in this Contest or the review and selection of any winners.  Any and all disputes, claims, and causes of action arising out of or in connection with this Contest shall be resolved individually, without resort to any form of class action. This Contest shall be governed by, and construed in accordance with, the internal laws of the State of Washington. Any action or litigation concerning this Contest shall take place exclusively in the federal or state courts sitting in King County, Washington, and each entrant expressly consents to the jurisdiction of and venue in such courts and waives all defenses of lack of jurisdiction and inconvenient forum with respect to such courts. ANY CLAIMS, JUDGMENTS AND/OR AWARDS SHALL BE LIMITED TO ACTUAL OUT-OF-POCKET COSTS ASSOCIATED WITH ENTERING THIS PROMOTION. ENTRANT HEREBY WAIVES ANY RIGHTS OR CLAIMS TO ATTORNEY'ʹS FEES, INDIRECT, SPECIAL, PUNITIVE, INCIDENTAL OR CONSEQUENTIAL DAMAGES OF ENTRANT WHETHER FORESEEABLE OR NOT AND WHETHER BASED UPON NEGLIGENCE OR OTHERWISE.

GENERAL CONDITIONS

Released Parties are not responsible for stolen, late, incomplete, illegible, misdirected, lost, damaged, garbled, delayed, undelivered, inaccurate, or garbled Submissions. Released Parties are not responsible for lost, interrupted or unavailable network, server, Internet Service Provider (“ISP”), website, or other connections, availability or accessibility or miscommunications or failed computer, satellite, telephone or cable transmissions, lines, or technical failure or jumbled, scrambled, delayed, or misdirected transmissions or computer hardware or software malfunctions, failures or difficulties, or other errors or difficulties of any kind whether human, mechanical, electronic, computer, network, typographical, printing or otherwise relating to or in connection with the Contest, including, without limitation, errors or difficulties occurring in connection with the administration of the Contest, the processing of Submissions, or in any Contest-related materials. Released Parties are also not responsible for any incorrect or inaccurate information, whether caused by website users, tampering, hacking, or by any equipment or programming associated with or utilized in the Contest.  Released Parties are not responsible for injury or damage to Entrant’s or to any other person’s computer related to or resulting from participating in this Contest or from use of the online configurator tool. 

Entrant who tamper with, or abuse, any aspect of the Contest or online configurator tool or attempt to undermine the legitimate operation of the Contest, or intend to annoy, abuse, threaten or harass any other Entrant or Sponsor’s representatives or who are in violation of these Official Rules, as solely determined by Sponsor, will not be disqualified an associated entries will be void. Any attempt to deliberately damage the content or operation of this Contest is unlawful and subject to legal action by Sponsor, the other MLS entities and/or their respective agents. 

CAUTION: ANY ATTEMPT BY AN ENTRANT TO DELIBERATELY DAMAGE THE ONLINE CONFIGURATOR OR UNDERMINE THE CONTENT OR LEGITIMATE OPERATION OF THIS CONTEST IS A VIOLATION OF CRIMINAL AND CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE, SPONSOR RESERVES THE RIGHT TO SEEK DAMAGES (INCLUDING ATTORNEYS’ FEES) AND OTHER REMEDIES FROM ANY SUCH ENTRANT TO THE FULLEST EXTENT PERMITTED BY LAW.

The Sponsor and the other MLS Entities, as applicable, reserve the right, in their sole discretion, to cancel or suspend the Contest for any reason, including should virus, bugs, unauthorized human intervention, or other causes corrupt the administration, security, fairness, integrity or proper operation of the Contest. 

By entering the Contest, entrant acknowledges and agrees that he/she is voluntarily providing the information requested at the time of entry and does so knowing that he/she is sharing personal information which may be Personally Identifiable Information.  Entrants information is subject to both the Major League Soccer Data Privacy and Security policy which can be found at http://www.mlssoccer.com/privacy-policy and the Major League Soccer Terms of Service which can be found at http://www.mlssoccer.com/terms-service. Sponsor and/or MLS may use your information to contact you with future offers, promotions, services or contests or for other commercial purposes.

For winners' names, send a request and Self-Addressed Stamped Envelope to “2020 Alliance Scarf Design” c/o Sounders FC, 159 South Jackson Street, Suite 200, Seattle, Washington 98104 on or before September 30, 2019.

DATA PRIVACY AND SECURITY. 

By entering this Contest, Entrant acknowledges and agrees that he/she is voluntarily providing the information requested via the survey which will have been sent to entrant’s email address already on file with Sponsor. Sponsor may additionally collect website usage information from each Entrant in the form of cookies, tracking internet protocol addresses, tags, web beacons, pixel tags or other tracking technologies, and/or clickstream data.  Sponsor will use Entrant’s entry data and website usage information to determine Entrant’s eligibility, to contact Entrant about the contest or any Prize, confirm your entry, otherwise administer your participation in the Contest, and maintain the website, mobile application, or the operations of other existing or future promotions and/or internal record keeping.  Survey responses will be used for internal review of our season ticket member program and benefits, and will be aggregated with other survey results to inform our marketing, communications and future season ticket member strategies.  Aggregated information which will include neither any personal contact information of the survey respondent nor other information which would lead to the survey respondent may be used by Sponsor externally to promote, market or communicate the season ticket member program or benefits, to report to outside agencies, marketers or sponsors, and to provide required information to Major League Soccer.

            To the extent that any PII is requested and provided by entrant, all PII shall be retained and destroyed consistent with the MLS Privacy Policy and Sponsor’s internal company controls for confidentiality, retention and destruction of such information and data.  Entrant’s PII (if any) will only be retained for the duration of the Contest, and any time after the duration of the Contest for which the PII is necessary to fulfill the Contest. PII will be destroyed when no longer needed for the specific purpose for which it was provided.
